Roomrop Terms of Service

1. Acceptance of Terms

By accessing or using Roomrop ("the Service"), operated by Hayes Digital Ventures LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use Roomrop. By using the Service, you represent that you are at least 18 years old. We reserve the right to verify age and terminate accounts of users who misrepresent their age.

3. Content & Safety Policy

Roomrop is an 18+ platform. By using Roomrop, you agree not to transmit, display, or share any content that is sexually explicit, pornographic, graphically violent, or illegal in nature.

Monitoring & Moderation

Roomrop reserves the right to monitor live rooms and recorded content for violations of this policy. Rooms may be reviewed following a user report. By joining or creating a room, you acknowledge that Roomrop may access room activity for trust and safety purposes.

Reporting

Users may report violations directly within any live room. Reports are reviewed by Roomrop staff. We reserve the right to remove content, suspend, or permanently ban any account found in violation of this policy without prior notice.

Consequences

Violations of this Content Policy may result in immediate removal from a room, temporary suspension, or permanent account termination depending on severity. Illegal content will be reported to the appropriate authorities.

4. Account Registration

To use Roomrop you must create an account. You agree to:

• Provide accurate and complete information
• Keep your account credentials secure
• Notify us immediately of any unauthorized access at legal@roomrop.com
• Be responsible for all activity under your account

5. Acceptable Use

You agree NOT to:

• Use the Service if you are under 18
• Harass, threaten, bully, or harm other users
• Post or share illegal, obscene, defamatory, or harmful content
• Impersonate any person or entity
• Attempt to hack, scrape, reverse engineer, or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Violate any applicable local, national, or international law
• Upload or transmit viruses or malicious code

We reserve the right to terminate or suspend accounts that violate these rules at our sole discretion.

6. Content and Content License

You retain ownership of content you post on Roomrop. By posting content, you grant Hayes Digital Ventures LLC a non-exclusive, worldwide, royalty-free license to store, display, transmit, reproduce, and back up that content solely to operate, maintain, and improve the Service. This license ends when you delete your content or account, subject to reasonable technical delays.

You are solely responsible for the content you share. We do not endorse or guarantee the accuracy of user-generated content.

7. DMCA and Copyright

We respect intellectual property rights. If you believe content on Roomrop infringes your copyright, send a DMCA takedown notice to legal@roomrop.com including:

• Your contact information
• Description of the copyrighted work
• URL of the allegedly infringing content
• A statement of good faith belief that the use is unauthorized
• Your signature (electronic or physical)

We will respond to valid notices in accordance with the Digital Millennium Copyright Act. Repeat infringers will have their accounts terminated.

8. Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. Account deletion requests are processed within 30 days as described in the Privacy Policy.

9. Service Availability and Modifications

We do not guarantee uninterrupted or error-free operation of the Service. We reserve the right to modify, suspend, or discontinue the Service or any feature at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Hayes Digital Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. In no event shall our total liability to you exceed the greater of (a) $100 USD or (b) the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hayes Digital Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Dispute Resolution and Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved by binding individual arbitration under the American Arbitration Association rules, not in court. You waive your right to a jury trial and to participate in a class action. Arbitration will take place in Maricopa County, Arizona. Small claims court actions are exempt from this arbitration requirement.

14. Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet outages, power failures, or third-party service failures.

15. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

16. Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing signed by an authorized representative of Hayes Digital Ventures LLC.

17. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may delete your account at any time by contacting legal@roomrop.com. Sections 6, 10, 11, 12, 13, 15, and 16 survive termination.

18. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought in the courts of Maricopa County, Arizona.

19. Changes to Terms

We may update these Terms at any time. We will notify you of significant changes by email or in-app notice at least 7 days before they take effect. Continued use after changes constitutes acceptance.
